MGT-7 vs MGT-7A: Which Form Does Your Company File?

The Ministry of Corporate Affairs introduced Form MGT-7A in 2021 as a simplified Annual Return for small companies and OPCs, replacing the longer Form MGT-7 for these entities.

MGT-7 Filing Process

Compile Shareholder & Director Data

Collect complete details of all shareholders, director changes, share transfers and other corporate events that occurred during the financial year.

Conduct AGM

Hold Annual General Meeting within 6 months of financial year end. The 60-day due date for MGT-7 runs from the AGM date.

Prepare Annual Return Draft

Draft the Annual Return with all required sections. For large companies requiring CS certification, the draft is reviewed and certified by a Practicing Company Secretary.

Attach MGT-8 Certificate (If Required)

Companies with paid-up share capital ≥ Rs. 10 crore or turnover ≥ Rs. 50 crore must attach a certification from a Practicing Company Secretary in Form MGT-8.

File on MCA21 & Pay Fees

Upload the completed MGT-7/MGT-7A form with DSC on the MCA21 portal, pay the applicable government fee and download the acknowledgement SRN.

Frequently Asked Questions

Is a Company Secretary required for MGT-7 filing?
A Practicing Company Secretary (PCS) is required to certify MGT-7 for companies with paid-up share capital of Rs. 10 crore or more, OR turnover of Rs. 50 crore or more. Small companies and OPCs file the simplified MGT-7A, which can be signed by a director without PCS certification. For all other private limited companies below these thresholds, a CS certification is optional but recommended.
What is the late fee for MGT-7 and is there a maximum cap?
The late fee for MGT-7 is Rs. 100 per day from the due date (60 days from AGM). There is NO maximum cap on this fee, unlike the old Companies Act which had a cap. A company that is 1 year late on MGT-7 would owe Rs. 36,500 in late fees for that single form alone. This is why timely filing is essential.
Can MGT-7 be filed if AOC-4 has not been filed yet?
Yes, but it is not recommended. While technically you can file MGT-7 before AOC-4, the MGT-7 form requires the SRN of the AOC-4 filed for the same year. If AOC-4 is pending, you should file it first or simultaneously to avoid inconsistencies. Note that AOC-4 typically has an earlier due date (30 days from AGM) than MGT-7 (60 days from AGM).
